Registering a company in Guangzhou is now quite convenient, and most steps can be completed online. The real difficulty is not "working through the process" but thinking through the key conditions before formation: is the right legal form chosen? Does the address satisfy the requirements? Are there restrictions on who may hold office? Does the industry require pre-approval or post-approval licences? Settling these questions before the registration is filed saves a great deal of rework. This article sets out what to confirm, in the order in which formation proceeds.
Confirming the Legal Form
The first step before formation is to decide the form of the enterprise, because it determines liability, the logic of the tax burden and the cost of ongoing administration:

Four dimensions are worth weighing: the need for liability separation, the number and structure of shareholders, future financing plans, and preferences on tax treatment. The method and timing of capital contributions should be arranged truthfully as agreed in the articles of association, not filled in casually to look impressive.
Name, Business Scope and Registered Address
For the name, follow the structure of "administrative division + trade name + industry + form of organisation" and prepare several alternatives in advance. Searching the publicity system yourself for similar names in the same industry before submitting will significantly reduce rejections.
Key points on the business scope:
Use standard wording from the items offered by the registration system; do not invent terms;
Put the main line of business first, consistent with the actual business;
Where licensed matters are involved, distinguish pre-approval from post-approval, and start the business only once any required licence is held;
Do not blindly copy a long list from a peer; an excessively broad scope may trigger later verification and licensing requirements.
A registered address in Guangzhou must be genuine, contactable, able to receive verification and supported by documentary evidence. The common options are:
Office premises owned or leased by the company — the most reliable route, requiring property title evidence and a lease contract;
A business secretary or cluster registration address — for industries that do not need physical premises, provided the address holds the appropriate qualifications;
A park or incubator — often provides both premises evidence and some supporting services;
Multiple licences at one address — in qualifying areas one address may host several entities, subject to the specific rules.
Particular care is needed here: industries subject to licensing usually require premises conditions that match the licence. Catering, for example, has corresponding requirements for premises, drainage and fire safety, and a virtual address will generally not be available in such cases.
When leasing premises, confirm that the landlord is the owner or is authorised by the owner, that the lease term covers both registration and operation, that the contract expressly permits business registration at the premises, and that lease filing is completed as required.
People: Identity and Eligibility Restrictions
Formation requires the appointment of a legal representative, an executive director or director, a supervisor and a manager. Confirm the following:

Numbers and structure: as agreed in the articles of association, so that no mandatory position is left vacant;
Real-name verification: those concerned must complete the verification required by the registration system.
Before submitting, check the identity documents and contact details of every proposed appointee, so that one incorrect record does not cause the whole filing to be rejected.
Industry Licences and Approvals
The test is straightforward: first look at whether the business scope contains any licensing item. Common examples include:
Food business: selling food or providing catering services requires a food business licence;
Human resources services: employment agency activities generally require the corresponding licence or filing;
Road transport: operating the relevant transport business requires a road transport operating licence;
Hazardous chemicals, medical devices, publications, education and training and similar fields: each normally has its own licensing or filing requirement.
On procedure, the first question is whether the matter is a pre-approval or a post-approval. Where it is a post-approval, obtain the business licence first and the licence itself before opening for business. Carrying on the relevant business without the licence is operating in breach of the rules. It is worth listing the licence requirements, the competent departments and the materials needed at the formation stage.
The Filing Path, Bank Account, Tax and Social Insurance
Filing path. Enterprise registration in Guangzhou is handled mainly online through the one-stop online government service platform, which links name filing, formation registration, seal engraving and tax matters. Prepare a real-name verified account and electronic signature capability in advance, complete each item as prompted by the system, and upload clear, complete and correctly oriented materials. After approval, collect the electronic business licence, which has the same effect as the paper licence and supports many later online matters; the paper licence and seals are collected at the same time under the local process. The electronic business licence is best collected and kept by the legal representative in person through the official channel, as it is needed later for account opening, tax matters and signature and sealing.
Bank account opening. A corporate bank account should be opened as soon as the licence is in hand, because the basic deposit account is a precondition for tax deduction, social insurance withholding and similar matters. Account opening normally requires the business licence, seals, the legal representative's identity document, the identity document of the person handling the matter with a letter of authorisation, the articles of association and evidence of the address. Banks differ in their documentary requirements, address verification methods and fees, and the latest requirements of the account-opening bank prevail. Book an appointment in advance and confirm whether the legal representative can attend.
Tax registration and invoicing. Tax-related matters should be dealt with promptly after formation: supplement the registration information and confirm the competent tax authority; complete tax type determination, under which the taxes to be declared and the filing deadlines are set according to the business scope, scale and business model; report the real-name information of the person in charge of finance and the tax filing staff; complete invoice type and quota approval and choose how invoices are obtained (electronic or paper); and confirm the filing cycle and first filing period. Note in particular that once tax type determination is complete, a filing obligation arises regardless of whether there is any revenue; even with no business activity, filings must be made on time.
Social insurance and housing provident fund registration. Enterprises with employees must complete social insurance registration and housing provident fund contribution registration as required. At the formation stage, confirm the applicable place of participation, the number of participants, the contribution base rules and how participants are added and removed. Where initially there is only the legal representative, consult the local rules on whether and how to register. Plan social insurance administration together with payroll records and employment contracts.
When the Registered Address Differs from the Operating Address
Many enterprises register in a park while operating from somewhere else. The arrangement is workable, but the following deserve attention:
Tax and administration jurisdiction follows the registration information; operating in fact elsewhere may involve cross-regional matters to be handled under the rules;
Bank verification looks at consistency of address, so where the two differ there must be a reasonable explanation and evidence of the actual operating address;
Licensed matters are usually subject to stricter requirements on the "actual operating address";
Verification correspondence from the business registration and tax authorities needs someone to sign for it, and letters nobody receives easily give rise to an abnormal status;
It is advisable to keep the lease contract for the actual operating address, office photographs, and personnel and business records, forming a complete chain of evidence.
