Operating in Shenzhen: Business Conditions to Confirm Before You Start

Establishing a company in Shenzhen is not complicated in itself. What causes trouble is what comes afterwards: address compliance, industry licensing, the eligibility of directors and supervisors, bank accounts, and consistency between the registered address and the place where the business actually operates. This article sets out the operating conditions to confirm before you begin trading as a checklist. It is written for founders preparing to register a company in Shenzhen, for business owners already operating there who have never checked these points systematically, and for finance staff responsible for dealing with the market regulation and tax authorities.
Company Registration and Registered Address Compliance
Shenzhen places considerable emphasis on the compliance of the registered address. At the time of registration it must be possible to explain the authenticity of the address and the basis on which it is used.
- Owned premises. Title documents and similar materials are required.
- Leased premises. A lease agreement is required, and the term of the lease should be checked to ensure it covers the period of operation.
- Cluster registration or address affiliation. This can suit industries that do not depend on physical premises. Whether it is available, and on what conditions, is subject to the registration requirements of the local market regulation authority.
- Industries subject to prior approval. Where an industry requires a licence, the licence is usually obtained, or the site conditions met, before registration can proceed.
The main risk of an affiliated address is this: if a review finds that the enterprise has no actual place of business and cannot be contacted, it may be entered on the list of enterprises with abnormal operations, which then affects its bank accounts, tender participation and qualification applications. When choosing an affiliated address, confirm that the service provider can receive correspondence and cooperate with a review, and keep the agreement for use of the address on file.
Business Scope, and Prior and Subsequent Licensing
The business scope is not a case of the more the better. The more items that are written in, the more licences and subsequent compliance obligations are involved. Industries that commonly require a licence include the following.

It is advisable first to establish whether an activity can be carried on, what licence it needs and how long that takes, and only then to decide whether to register that item in the business scope.
Identity and Eligibility of the Legal Representative, Shareholders and Supervisor
Information about individuals is a frequent source of error in registration, so each item should be checked before submission.
- Whether identity documents are within their validity period, and whether the name and document number match the documents exactly.
- Whether the person appears on a list of dishonest debtors, or is subject to any restriction on holding office.
- Whether the positions of supervisor, legal representative and so on comply with the rules, bearing in mind positions that cannot be held concurrently.
- Whether contact details and the contact address are genuine and effective, for receiving notices from the regulatory authorities.
- Whether the equity proportions, the form of capital contribution and the contribution deadline match what the shareholders have agreed.
Once such information has been registered incorrectly, correcting it requires a formal change procedure and delays subsequent matters such as account opening and invoicing.
Bank Account Opening and Classified Account Management
The basic deposit account is the foundation for receipts, payments and tax withholding. When opening an account in Shenzhen, attention is usually needed to the following.
- The completeness and consistency of the account-opening materials: the licence, seals and identity documents must reconcile with one another.
- Where the actual place of business differs from the registered address, the bank may ask for a supplementary explanation or carry out an on-site verification.
- Classified account management: different types of account have different payment and receipt functions and limits, so the choice should follow business needs.
- Who is responsible for obtaining and safekeeping internet banking credentials, USB tokens or digital certificates.
- The subsequent requirements for account annual review and information updates.
Opening times vary between banks and can be affected by the circumstances of the enterprise, so it is advisable to make an appointment early and allow time. Once the account is open, sign the tripartite tax-bank agreement promptly so that payment can be deducted normally after filing.
Tax Registration, Invoicing and the Administration Environment
The tax side involves a relatively concentrated set of items to confirm.
- Complete tax reporting-in and information confirmation, and identify the finance officer and the tax handler.
- Complete tax category assessment, and confirm which taxes apply and the filing cycle.
- Complete invoice type assessment and activate fully digitalised electronic invoices (FDEI), and confirm whether the invoicing quota is sufficient.
- Pay attention to tax credit rating management; the rating affects invoice quotas, the convenience of tax handling and access to financing.
- Where there is export business or cross-border receipts and payments, confirm the relevant filings and procedures separately.
Matters involving specific tax rates, levy rates, filing deadlines and quota standards are subject to the latest position shown in the electronic tax bureau and the requirements of the competent tax authority.
Social Insurance, Housing Provident Fund and Premises Leasing
- Social insurance. Where there are employees, contribution registration should be completed, and staff added promptly when they join, so that a lapse does not affect their entitlements.
- Housing provident fund. Open an account and contribute in accordance with local rules; the specific rates and bases are subject to the locally published position.
- Lease agreement. Make clear the rent, term, permitted use, deposit, the basis on which invoices will be issued and liability for breach.
- Lease filing. Whether filing is required and how it is done is subject to the requirements of the local housing authority.
- Actual place of business and registered address. Keep these consistent where possible; where they genuinely differ, be able to explain why and to provide evidence when required.
Consistency Between the Place of Business and the Registered Address
The knock-on effects of inconsistency are greater than most people expect: regulatory letters do not arrive, bank verification is not passed, the actual operation cannot be demonstrated during a tax review, and the risk of being listed as abnormal rises. Workable improvements are as follows.
- Align the office address with the registered address.
- Where separation is genuinely necessary, retain the lease for the actual place of business, utility records and evidence of staff working there.
- Designate a person responsible for receiving correspondence and notices of all kinds, so that nothing is missed.
- Where the address changes, complete the registration change promptly rather than leaving the position empty for a long period.
