Operating in Guangzhou: Business Conditions to Confirm Before You Start

Opening a business or establishing a branch in Guangzhou begins with the business licence, but that is only the starting point. What really determines whether you can open your doors smoothly is a set of prior conditions: compliance of the premises, the wording of the business scope, industry licensing, banking and tax, and social insurance and the housing provident fund. Many enterprises stall at the point of holding a licence but being unable to trade, and the root cause is that these conditions were never confirmed one by one before opening. This article sets out the operating conditions to verify in the order they are handled; specific positions are subject to the latest requirements of the local competent authorities.
Company Registration and Premises Requirements
The core items to confirm in company registration are the type of entity, the name, the premises and the information on the individuals involved.
- Type of entity. Limited liability company, sole proprietorship, partnership and so on differ in the form of liability and in the tax burden structure, and the choice should follow the scale of the business and the risks involved.
- Compliance of the premises. The permitted use of the premises must allow industrial and commercial registration, which usually means providing title documents or a lease agreement. Where residential premises are converted to commercial use, this must be handled in accordance with local rules.
- Evidence of the premises. For owned property, provide title documents; for leased property, provide the lease agreement and the landlord's title materials. The specific requirements are subject to the position of the registration authority.
- Information on individuals. The identity and eligibility details of the legal representative, shareholders and supervisor must be complete and genuine.
Standardised Wording of the Business Scope and Licensing Matters
The business scope is no longer a matter of writing whatever you like; items are selected from standard wording.
- Determine the main activity first, and then add supporting items, avoiding an excessive pile of unrelated entries.
- Distinguish between general business items, which may be carried on directly, and licensed business items, which may only be carried on once the relevant licence has been obtained.

Guangzhou has widely adopted online processing, and most registration matters can be submitted through the government service platform.
- Register an account and complete real-name verification, then complete the forms and upload attachments as prompted.
- Once approved, an electronic business licence can be obtained, which has the same legal effect as the paper licence.
- The electronic business licence can be used for identity verification and authorisation in some government, banking and platform settings.
- Where signatures or seals are involved, confirm the rules for the use of electronic signatures and electronic seals.
On the banking side:
- Corporate account. After establishment, a basic deposit account must be opened at a bank, usually with the licence, seals, the legal representative's identity document and evidence of the place of business. Some banks carry out an on-site verification.
- Account types. The basic account is used for wages, tax payments and day-to-day settlement; general accounts are used for purposes such as the on-lending of borrowings, and are opened as needed.
- Foreign exchange business. Where import, export or cross-border receipts and payments are involved, confirm whether a foreign exchange settlement account needs to be opened, and understand the requirements for receipts and payments in trade in goods and trade in services.
- Cross-border RMB and external debt. Where cross-border financing is needed, registration must be handled in accordance with foreign exchange administration requirements, subject to the position of the competent authority.
Tax Registration, Invoice Assessment and Tax Credit
- Tax registration and reporting-in. After the licence is obtained, tax information confirmation (commonly known as reporting in to the tax authority) must be completed within the prescribed period, and the tax categories and filing method assessed and confirmed.
- Taxpayer status. Small-scale taxpayers and general taxpayers are subject to different rules on calculation and invoicing, and the position should be judged according to the needs of the business.
- Invoice type assessment. Apply for the types and quantities of invoices required by the business; where special VAT invoices are involved, the corresponding conditions must be met.
- Tax credit. Filing on time, paying tax on time and issuing invoices compliantly build up the tax credit rating, which affects the subsequent invoicing quota and access to financing.
Social Insurance, Housing Provident Fund, and Industry Licensing and Site Requirements
- Social insurance. The enterprise must handle social insurance registration and staff additions and removals for its employees, with contribution bases determined in accordance with local rules.
- Housing provident fund. Handle the contribution registration for the housing provident fund in accordance with local requirements.
- Employment compliance. The signing of employment contracts, the payment of wages and the withholding of individual income tax must be coordinated.

- Where it is used only as an office and is not open to the public, judge whether filing is required under local rules.
- Pay attention to tax jurisdiction: operating across districts may involve the allocation of taxes and fees and local administration, which should be confirmed with the tax authority in advance.
- Keep the registered address contactable and able to receive letters, so as to avoid being entered on the list of enterprises with abnormal operations for being uncontactable.
A workable order of preparation before opening is as follows.
- Determine the type of entity, the name and the premises, and verify that the address is compliant.
- Complete company registration and obtain the business licence and electronic business licence.
- Engrave the seals, open the corporate bank account, and open a foreign exchange account if necessary.
- Complete tax information confirmation, tax category assessment and the invoice application.
- Open the social insurance and housing provident fund accounts.
- Obtain the industry licences required and meet the site and fire safety conditions before opening for business.
Following this order avoids the awkward position of holding a licence but being unable to open.
Common Pitfalls
- Opening as soon as the licence is in hand. Carrying on a licensed business item without having obtained the licence is a breach of the rules.
- Filling in the business scope at random. Entries that do not match the actual business affect invoicing and qualification applications.
- Using an affiliated address casually. An address that is non-compliant or uncontactable makes it easy to be entered on the list of enterprises with abnormal operations.
- Overlooking the tax reporting-in deadline. Failure to handle it in time may result in a penalty and affect tax credit.
- Not opening social insurance and housing provident fund accounts. This affects employees' entitlements and is not conducive to the enterprise's long-term compliance.
