Operating in Fujian: Business Conditions to Confirm Before You Start

Fujian has a very distinct geographic profile: dense coastal ports, an active private sector, close economic and trade links with the Taiwan region, and both a Pilot Free Trade Zone and a number of special customs supervision areas. The conditions that need to be confirmed before a business can operate in Fujian vary considerably from sector to sector. This article works through them by reference to business registration, park policies, Taiwan-related investment, industry licensing, tax and invoices, employment, and ports, so that each item can be checked off in turn.
1. Business Registration and Premises Requirements
- Name and entity type: first decide whether the entity will be a limited company, a partnership or an individual industrial and commercial household. The types differ in liability, tax burden and registration materials, so do not choose casually simply for convenience.
- Business scope: state it in terms of the standard catalogue. Items involving pre-approval or post-approval licensing require the licence to be obtained first, or must be handled under the "licence before permit" sequence.
- Premises (place of business): proof of lawful use must be provided. Local acceptance of "multiple licences at one address", "cluster registration" and "premises declaration and undertaking" varies, and is subject to the latest rules of the local market regulation bureau.
- Identity verification: shareholders, the legal representative and the person handling the application will normally need to complete identity verification.
- Follow-up matters: seal engraving, bank account opening, tax information confirmation and invoice application, and the opening of social insurance and housing provident fund accounts must generally be completed within a certain period after establishment.
2. Pilot Free Trade Zone and Special Customs Supervision Areas
The Fujian Pilot Free Trade Zone has areas in Fuzhou, Xiamen and Pingtan, among others, and each area has a different functional emphasis. Special customs supervision areas — bonded zones, bonded port areas and comprehensive bonded zones, among other types — typically provide bonded processing, bonded logistics, warehousing and cross-border e-commerce functions.
In judging whether a location is suitable, four points matter most:
- Does the business genuinely need bonded or special supervision functions, or is the attraction only the policy expectation?
- Does it satisfy the industry orientation and entry conditions of that area?
- Can the business take on the accounting book management, customs declaration and regulatory requirements involved, which call for staff in the relevant positions?
- Do the premises conditions inside the area match the requirements for the actual place of business?

3. Fujian–Taiwan Economic and Trade Links and Key Points for Establishing a Taiwan-Funded Enterprise
Fujian is at the forefront of economic and trade links with the Taiwan region, and Taiwan-related business is common. Several points must be confirmed before establishment and operation:

Access rules, registration materials and administrative procedures for Taiwan-related investment differ in practice from place to place. We recommend confirming the position first with the market regulation bureau of the intended place of registration and through the relevant official channels before preparing the materials. Do not trust unofficial claims such as a "special channel for Taiwan investment" or a "guaranteed approval".
4. Industry Licences and Qualifications
Licences commonly encountered in coastal Fujian include food business licences, import and export filings, road transport and freight forwarding, dangerous goods qualifications, construction engineering qualifications, and medical device and pharmaceutical business licences. The sequence for confirming them is as follows:
- Identify which licence the main business corresponds to, and whether it is a pre-approval or post-approval item.
- Establish whether the premises, equipment and personnel satisfy the licensing conditions.
- Establish whether an on-site inspection is required, and roughly how long the inspection cycle takes.
- Establish the validity period of the licence and the requirements for renewal.
5. Tax Registration and Invoices
- After completing market entity registration, it is necessary to handle tax information confirmation, the determination of tax categories, and the filing of the financial system, among other matters.
- Invoice application: apply for the invoice types and issuing limits appropriate to the business, and ensure the content of the invoices matches the actual business.
- Tax filing: file on time. Even where there is no revenue in the period, a nil filing or equivalent treatment is required in accordance with the rules.
- Export tax rebate: where exports are involved, export tax rebate (exemption) filing must be completed, and the supporting documents must be retained for inspection as required.
- Tax incentives: incentives available to qualifying small and low-profit enterprises and high and new technology enterprises must be filed or declared in accordance with the rules. The specific position is subject to the latest rules of the State Taxation Administration and the Fujian Provincial Tax Service.
6. Social Insurance, Housing Provident Fund and Employment
- Employment should be covered by a written labour contract, with participation in social insurance in accordance with the rules; the housing provident fund is handled according to local requirements.
- The social insurance arrangements for Taiwan-registered and other overseas employees may differ from those for local employees, and should be confirmed with the local human resources and social security department.
- Pay attention to common areas of dispute such as the probation period, overtime and termination of contract, and maintain complete written records and attendance records.
- Project tendering and qualification applications often require proof of social insurance contributions, so the timing of account opening and contributions should not be left until the point at which they are needed.
7. Cross-Border Trade and Ports
Fujian's main ports include Xiamen Port, Fuzhou Port and Quanzhou Port, and different ports have different strengths in shipping routes, cargo types and clearance facilities.
- Xiamen Port: has a relatively strong base in container trunk-line shipping and export-oriented business, with a relatively high density of routes.
- Fuzhou Port: covers Fuzhou and the wider northeastern Fujian region, with container and break-bulk cargo handling capability.
- Quanzhou Port: closely connected with local manufacturing, stone and light industry trade.
When choosing a port, focus on the density of shipping routes, the reliability of sailing schedules, the customs declaration and inspection facilities, trailer and warehousing costs, and inland collection and distribution times. Cross-border e-commerce businesses also need to confirm whether the corresponding Cross-Border E-Commerce Comprehensive Pilot Zone policies and supervision models apply. Port functions and shipping routes change over time, and are subject to the latest announcements of the ports and customs authorities.
Common Pitfalls
- Registering in an area that is not actually needed in order to obtain policy incentives, while overlooking the real operating and regulatory costs.
- Treating "Taiwan-funded" status as an automatic entitlement to incentives, while overlooking the access assessment and filing requirements.
- Filling in the business scope carelessly and then being forced to amend it repeatedly when applying for licences.
- Ignoring premises verification requirements, so that registration is rejected or the entity is later listed as abnormal.
- Failing to complete export tax rebate filing in time, so that it becomes difficult to remedy later.
- Overlooking the timing of social insurance and housing provident fund account opening, which affects employee onboarding and project tendering.
